Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By accessing or using the UrbanBazaar platform (“UrbanBazaar” or “Platform”), owned and operated by Ample Mart Private Limited, you agree to comply with and be bound by the following Terms and Conditions (“Terms”). If you do not agree with these Terms, you must refrain from using UrbanBazaar. These Terms constitute a legally binding agreement between you and Ample Mart Private Limited (the “Company”). Use of UrbanBazaar is also subject to our Privacy Policy and any other guidelines or policies posted on our site.

This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable. It is generated by a computer system and does not require any physical or digital signatures.

1. Definitions

  • UrbanBazaar / Platform: The website (and related mobile applications, if any) operated by Ample Mart Private Limited for business listings and related services in India.
  • Company / We / Us: Refers to Ample Mart Private Limited, the owner and operator of UrbanBazaar, including its employees, directors, officers, and affiliates.
  •  User / You: Any individual or entity who accesses, uses, or registers on UrbanBazaar. This includes business owners listing their businesses, and consumers browsing the listings or posting reviews.
  • Account: The profile registered by a User on UrbanBazaar, which enables access to certain features (such as creating listings or writing reviews).
  • Business Listing / Listing: Information and content posted on UrbanBazaar about a business, including the business name, contact details, address, descriptions, images, and other relevant details. Listings may be free or paid.
  • Featured Listing / Premium Listing: A paid business listing option that offers enhanced visibility or special placement on the Platform (such as appearing at the top of search results or in featured sections).
  • Sponsored Advertisement: Paid promotional content or listings on UrbanBazaar (for example,
    banner ads or highlighted listings) purchased by a business for advertising purposes, and typically labeled as “Sponsored”.
  •  User-Generated Content: Any content submitted by Users on the Platform, including but not
    limited to reviews, ratings, comments, feedback, business information, images, and documents.
  • Services: All features, functionalities, and services provided by UrbanBazaar, including business listing services (free and paid), search and browse functionality, user review and rating system, referral programs, advertising services, and any other offerings on the Platform.

2. Acceptance of Terms

  • By Using the Platform: You acknowledge that you have read, understood, and agreed to these Terms (and any policies referenced herein). If you do not agree, you should not use UrbanBazaar. Continuing to use the Platform signifies your acceptance of these Terms.
  • Eligibility: You must be at least 18 years old (or the age of legal majority in your jurisdiction) to
    register an account or use the core features of UrbanBazaar. By using the Platform, you represent that you are legally capable of entering into a binding contract. If you are using UrbanBazaar on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.
  • Territorial Restriction: UrbanBazaar is intended for use in India. We make no representation that the Services are available or appropriate outside of India. If you access the Platform from other jurisdictions, you do so at your own risk and are responsible for compliance with local laws.
  • Electronic Agreement: You agree that clicking “Sign Up”, “I Agree”, or similar buttons, or simply
    using any part of the Platform (including browsing listings), constitutes your electronic signature and agreement to these Terms. You also agree to abide by any additional guidelines, rules, or terms for specific services (such as referral program terms or advertising agreements) that may be posted on the Platform.
  • Updates to Terms: Please note that we may update these Terms from time to time as described in Section 15. It is your responsibility to review these Terms periodically. Continued use of the Platform after any changes to the Terms indicates acceptance of those changes.

3. Description of Services

  • Business Listing Platform: UrbanBazaar is an online business listing directory that connects users with various businesses and service providers across India. Through our Platform, businesses can list their details and services, and users can search for and discover businesses in different categories and locations.
  • Free and Paid Listings: We offer both free listings and paid listing services. Free listings allow a business to create a basic profile on UrbanBazaar at no charge (including essential details like name, address, contact info, and a description). Paid listings (such as Featured Listings) provide additional benefits such as enhanced visibility, priority placement in search results, highlighted display, or additional content/features. Free Listings may have certain limitations in visibility or features, whereas Premium Listings may be prominently displayed for better exposure.
  • User Reviews and Ratings: UrbanBazaar enables consumers and users to leave reviews, ratings,
    and feedback on listed businesses. This user-generated review system helps others make informed decisions and provides businesses with valuable feedback. Users can rate businesses and write comments about their experiences.
  • Advertising and Sponsorship: In addition to standard listings, UrbanBazaar may offer sponsored advertisements and promotional placements. Businesses can opt for sponsored ads or featured listing slots to advertise their products or services to users. Such sponsored content will be clearly identified on the Platform.
  • Referral Program: We may run a referral program or other promotional initiatives where existing users can refer new users or businesses to UrbanBazaar in exchange for rewards (such as discounts, credits, or other incentives). These programs are aimed at encouraging word-of-mouth promotion and providing benefits to participants, subject to specific terms (detailed in Section 10).
  • Additional Services: UrbanBazaar continually evolves and may introduce new features. Other services can include tools for users to contact businesses (e.g. inquiry forms or contact display), a dashboard for business owners to manage their listings and analytics, customer support to assist users and businesses, and any other services we announce on our Platform. All such services are covered by these Terms unless additional terms are specified for those services.
  • Important: UrbanBazaar functions solely as a listing and information platform. We are not a vendor, manufacturer, or provider of the products/services offered by the businesses listed. UrbanBazaar facilitates information exchange and connections between users and businesses, but does not guarantee or endorse the quality, safety, legality, or suitability of any business, product, or service listed. Any transactions, deals, or engagements that users enter with businesses found on UrbanBazaar are strictly between the user and the business (see Section 12 for limitation of liability regarding such interactions).

4. Account Registration and User Obligations

Certain features of UrbanBazaar (such as creating a business listing or writing a review) require you to create an Account. When registering and using the Platform, you agree to the following:

  • Provide Accurate Information: You must provide true, accurate, current, and complete information during the registration process (and when submitting any business listing or content). This includes your name, contact information, business details (if you are listing a business), and any required verification documents. You agree to update your information promptly if it changes.
  • One Account per User: Unless explicitly permitted by us, you should maintain only one Account on UrbanBazaar. Creating multiple accounts for the same person or business, or impersonating another person or entity, is prohibited.
  • Account Security: You are responsible for maintaining the confidentiality of your account login
    credentials (username and password). Do not share your password with others. You are responsible for all activities that occur under your account. If you suspect any unauthorized access to or use of your account, you must notify us immediately so we can help secure your account.
  •  Lawful Use: You agree to use UrbanBazaar only for lawful purposes and in compliance with all
    applicable laws and regulations. You must not use the Platform to engage in any unlawful, fraudulent, or malicious activity.
  • Respect Others’ Rights: You will not harass, threaten, or defraud other users or businesses, and you will not violate the privacy or rights of any other person. This means you must not post anyone’s personal information (e.g., phone number, address, email) without their consent, nor engage in spamming, phishing, or data scraping from the Platform.
  • No Harmful Content or Code: You must not upload or transmit any code, virus, worm, malware, or other software intended to interrupt, damage, or limit the functionality of the Platform. Any attempt to interfere with the proper working of UrbanBazaar, including hacking, denial of service attacks, or other disruptions, is strictly prohibited.
  • Age and Responsibility: If you are a business owner or representative creating a listing, you confirm that you are 18 or older and have the authority to list the business and agree to these Terms on its behalf. If you allow any minor (under 18) to use your account or the Platform (e.g., to browse content), you acknowledge that you are responsible for supervising that minor and any consequences of their use.
  • International Use: Although UrbanBazaar is intended for use in India, if you access your account from outside India, you are responsible for ensuring your actions comply with local laws. You also consent to the transfer and processing of your data in India as per our Privacy Policy.
  • Compliance with Terms: You must comply with all other provisions of these Terms and any
    additional rules on the Platform. This includes the Listing Guidelines (Section 5) and content standards. Failure to adhere to these obligations may result in suspension or termination of your account (see Section 11).

5. Listing and Advertising Guidelines

UrbanBazaar provides a platform for businesses to list their services and for advertisers to promote their offerings. To maintain a fair and lawful marketplace, all users creating listings or advertisements must adhere to the following guidelines:

  • Accuracy and Honesty: All information provided in a business listing or advertisement must be accurate, truthful, and not misleading. This includes the business name, contact details, location, description of services/products, prices, and any other data. Businesses are responsible for updating their listing information to keep it current.
  • Ownership and Authority: You may list a business only if you are the owner or an authorized representative of that business. By creating a listing, you confirm that you have the right to act on behalf of the business and to provide the content and data in the listing. You will not list businesses that you do not own or are not authorized to represent.
  • Legal and Permitted Businesses: You may only list businesses or services that are legal and
    permitted by law. It is strictly forbidden to list or advertise any business that involves illegal activities, products, or services (for example, illicit drugs, unauthorized firearms, counterfeit goods, gambling services not licensed in India, etc.). All businesses must hold any licenses or permits required by law to operate (e.g., a food business must have food safety licenses, a medical service must have appropriate certifications, etc.), and by listing, you represent that you comply with such requirements.
  • Prohibited Content: The content of listings and ads must not be offensive or violate the rights of others. Prohibited content includes (but is not limited to):
    • Content that is defamatory, libelous, or disparaging toward any person or entity.
    • Obscene, pornographic, or adult content that is not appropriate for a general audience (UrbanBazaar is a public platform).
    • Hate speech, or content that promotes discrimination or violence against any individual or group based on race, religion, ethnicity, gender, sexual orientation, or any other characteristic.
    • Harassing or threatening language.
    • Content that invades someone’s privacy or includes personal data of someone (like phone number, email, address) without their consent.
    • False or exaggerated claims about a product or service (“bait-and-switch” advertising, false advertising, or unrealistic promises are not allowed).
  • No Infringement: Do not post content in your listing or advertisement that infringes on the
    intellectual property or proprietary rights of others. This means you should not use text, images, logos, music, videos, or any material that you do not have rights to use. For example, do not use another company’s trademark, copyrighted images, or plagiarized descriptions in your listing. If you upload images (such as your business logo or photos of your business/products), you must own those images or have permission to use them.
  • Categories and Relevance: Ensure that you list your business in the appropriate category and geography on UrbanBazaar. Miscategorizing a listing (for example, placing a business under an unrelated category to get more attention) or including irrelevant keywords just to manipulate search results is not allowed. We reserve the right to re-classify or move listings to correct categories for accuracy and user experience.
  • Documents and Verification: UrbanBazaar may request certain verification documents for listed businesses to ensure authenticity (e.g., business registration certificates, GST registration, identity proof of the business owner, etc.). If asked, you agree to provide such documents promptly. We will use these documents only to verify your business and credibility. (See Section 9 on how such data is handled.) Failure to provide required verification or if we suspect documents are forged or invalid can result in rejection or removal of the listing.
  • Free vs. Paid Listing Features: Free Listings are allowed to include standard information fields
    provided by the Platform. If you have purchased a Featured (Paid) Listing or advertising slot, you may be allowed additional content (for example, a longer description, multiple images, video, or priority placement). However, purchasing a paid listing or ad does not exempt you from these content guidelines. All content in a featured listing or sponsored ad must still follow the same rules for accuracy, legality, and decency.
  •  Sponsored Advertisement Labeling: Any paid promotional listing or advertisement you purchase will be labeled appropriately (e.g., “Sponsored” or “Ad”) on UrbanBazaar to distinguish it from organic/free listings. You accept that UrbanBazaar has the sole discretion on how and where sponsored content is displayed (consistent with the features of the package you purchased). We do not guarantee a specific position or rank unless explicitly stated in the package details.
  • No Manipulation or Abuse: You must not artificially inflate or boost the visibility of your listing by illegitimate means. This includes generating fake reviews/ratings for your own business or for competitors, using bots or scripts to increase views or clicks on your listing, or any form of click- fraud in advertising. Such activities are a serious violation and can lead to immediate termination of your account (Section 11) and removal of your listings, without refund.
  • Right to Edit or Remove: UrbanBazaar reserves the right to review, approve, reject, or remove any business listing or advertisement at our sole discretion. We may remove or modify content that violates these Terms, our policies, or any applicable law; that we deem offensive or
    inappropriate; or for any other valid reason (for example, if we receive a complaint or notice of infringement, or if the business ceases operations). We may also make minor editorial edits to listings (such as correcting obvious typos or formatting for consistency) without altering the substance of your content.
  • No Endorsement: Publishing a business listing or ad on UrbanBazaar does not imply
    endorsement by the Company. Users should exercise due diligence and caution when interacting with any business listed. As a business lister, you may not state or imply in your content that your business is endorsed or verified by UrbanBazaar or the Company unless we have explicitly given you a written endorsement or verification badge through our platform.
  • Communication with Users: If you receive inquiries or leads through UrbanBazaar (for example, a user uses a “contact business” form or calls the phone number listed), you agree to handle such user data responsibly. Any personal information of users you obtain via UrbanBazaar must be used solely for the purpose of responding to that inquiry. You must not spam or continuously solicit users without their consent, and you must comply with any user’s request not to be contacted further.
  • Compliance with Advertising Laws: If you use UrbanBazaar’s advertising services, you must
    comply with all applicable advertising and marketing laws/regulations in India. This includes standards set by the Advertising Standards Council of India (ASCI) and any sector-specific regulations (for example, advertising for healthcare services should not violate medical advertising rules, etc.). You are solely responsible for the content of your advertisements and ensuring they meet legal requirements (such as necessary disclaimers on financial products, etc.). UrbanBazaar is not responsible for reviewing or verifying the legal compliance of your advertisements, but if we become aware of non-compliance, we may remove the content.
  • onsequences of Violation: If you violate these Listing and Advertising Guidelines, we may take
    appropriate action which can include editing or taking down the offending content, suspending or terminating your account, and/or banning you or your business from future use of the Platform. Serious or repeated violations may also result in legal action if warranted (for example, posting fraudulent content could lead to reports to law enforcement). You agree that UrbanBazaar is not liable for any loss of business or reputation you may suffer due to enforcement actions we take in response to your violation of these guidelines.

6. Payment and Subscription Terms

Certain services on UrbanBazaar (such as Premium Listings, Featured Listings, or Sponsored Ads) are offered for a fee. If you choose to use any paid services, the following terms apply:

  • Fees and Charges: You agree to pay all applicable fees for the paid services you opt for, as described on the Platform (e.g., on a pricing page or during the upgrade/checkout process). All fees are listed in Indian Rupees (INR) and are exclusive of any taxes (unless stated otherwise). Applicable Goods and Services Tax (GST) or other taxes may be added to the prices.
  • Payment Process: Payments for listing subscriptions or advertising services must be made through the approved payment methods on UrbanBazaar. We may use third-party payment gateways or processors to facilitate transactions. You must provide current, complete, and accurate billing information. By providing payment details, you represent that you are authorized to use the chosen payment method and you authorize us (or our payment processor) to charge your method for the fees due.
  • Subscription Plans: If the service you purchase is offered on a subscription basis (for example, a monthly or annual listing plan), it may auto-renew at the end of each billing cycle. Unless you cancel before the renewal date, you will be charged automatically for the next subscription period. We will inform you of the renewal and billing terms when you sign up. You can manage or cancel subscriptions through your account settings or by contacting our customer support.
  • No Refund Policy: All payments are non-refundable unless otherwise specified. Once a listing or ad is published or the service has been activated, we generally will not provide refunds or credits for any unused portion of the service period. For example, if you purchase a one-year Premium Listing and decide to cancel or remove your listing after a few months, you will not be entitled to a refund for the remaining unused months. Similarly, if your account or listing is terminated by us due to a violation of these Terms (Section 11), you will not receive any refund for payments made.
  • Exceptions – Refunds/Credits: In certain extenuating circumstances (such as a proven error on our part, or if a paid service is not delivered as promised), the Company may provide a refund, credit, or extension of service at our sole discretion. Any such exception is on a case-by-case basis and does not obligate us to provide similar refunds in the future. If you believe you deserve a refund due to an error or issue with our service, you should contact our support team and provide details; we will review your request in good faith.
  • Service Activation: For paid listings or ads, services will typically be activated once payment is
    successfully processed. Some services might have a setup or review period (for example, we might review a sponsored ad content before it goes live). We are not responsible for delays in activation due to issues beyond our control, such as payment clearance delays or you not providing required content or documentation.
  • Failed Payments: If a payment fails or is declined (due to expiration of card, insufficient funds, or otherwise), and you still owe us money for services already provided, we may attempt to reprocess the payment or contact you. We reserve the right to suspend or downgrade your paid services (e.g., revert a Premium Listing to a standard free listing) until payment is received. You agree to promptly update your payment information if it changes to avoid interruption of services.
  • Changes in Fees: The Company reserves the right to change the fees for any services or introduce new charges at any time. If the pricing for your current subscription changes, we will give you reasonable advance notice (for example, by email or a notification on the Platform) and the new rates will apply from your next billing cycle or renewal. If you do not agree with a fee change, you may need to cancel the service before the new rates take effect. Continuing to use the service after the price change becomes effective constitutes your acceptance of the new price.
  • Taxes: You are responsible for any taxes that may be applicable to your payments or use of paid services. If we are required by law to collect taxes (such as GST) on the fees you pay, we will charge you such taxes in addition to the service fees.
  • Invoices and Receipts: Upon successful payment, we will typically provide an electronic receipt or invoice accessible through your account or via email. It is your responsibility to print or save this for your records. If you require an invoice in a specific format or have GST details to be included, please provide that information in advance or during the payment process.
  • Third-Party Payment Processors: We use reputable third-party payment providers to process
    transactions. While we strive to ensure secure transactions, the Company is not responsible for errors or security breaches occurring on the side of those third-party processors, provided we have taken reasonable care in selecting them. You should review the terms and privacy policies of the payment processor when making a payment.
  • Disputed Charges: If you believe you have been charged in error or have an issue with billing, you must notify us as soon as possible, and ideally within 30 days of the charge date. We will investigate the issue. Initiating a chargeback or dispute with your bank/card issuer without first contacting us is generally against these Terms, as we should be given an opportunity to address your concern. We reserve the right to dispute any unjustified chargebacks and to recover our fees and expenses in such cases.
  • Upgrades and Downgrades: If you upgrade your listing or service (e.g., from a free listing to a premium plan), any applicable fees for the upgrade will be charged at the time of upgrade (prorated as applicable). If you downgrade (move to a cheaper plan or free service), the change might only take effect at the next billing cycle or according to our policy; you might not receive a refund for the remainder of your higher-tier service in the current cycle unless we specifically allow it.
  • Service Delivery: We commit to delivering the services you purchase as described. However, you acknowledge that specific results (such as the number of views or leads your listing will get, or the effectiveness of an advertisement) are not guaranteed. The success of a listing or advertisement can vary based on market conditions, user behavior, and other factors beyond our control. We provide the platform and exposure, but we do not promise any particular outcome (e.g., a specific number of customer inquiries or business deals).
  • Late Payments: If, by separate agreement, you are invoiced and allowed to pay after service is provided (this is uncommon and usually only for certain enterprise clients or special arrangements), payments must be made by the due date on the invoice. Late payments may incur interest at the rate permissible by law or a fixed late fee as stated on the invoice. Non-payment can result in suspension of services and legal action for recovery.
  • Termination of Paid Services: If you terminate or we terminate your use of a paid service (per
    Section 11) prior to the end of a period you’ve paid for, no refund will be given for the remaining time, except at our discretion or if required by law. We may also convert your paid listing to a free basic listing instead of removing it entirely (unless removal is due to violation), but we are not obligated to maintain any listing after termination.

7. User-Generated Content

UrbanBazaar values the contributions of its users. Reviews, ratings, and other user-generated content provide essential community feedback about businesses. However, to ensure the content remains helpful and lawful, the following conditions apply to all user-generated content:

  • Honest and Relevant Reviews: If you submit a review or rating for a business on UrbanBazaar, you agree to post honest, fair, and factual information based on your own first-hand experience with that business. Reviews should ideally focus on relevant aspects like the quality of service, product, customer service, timeliness, etc. that you experienced.
  • Prohibition of False Reviews: Posting fake or fraudulent reviews is strictly prohibited. This includes reviews for a business you have not actually interacted with, multiple reviews for the same business from the same user, or any review that is posted in exchange for money, discounts, free services, or other incentives (unless such incentive-driven reviews are expressly allowed and clearly disclosed, as per applicable law and guidelines). Business owners must not review their own businesses or those of competitors. Similarly, you should not misrepresent your identity or your association with a business in any content.
  • No Inappropriate Content: User content (reviews, comments, etc.) must not contain:
  • Profanity or obscene language (minimal and contextual usage might be tolerated, but content primarily containing profanity or vulgarity will be removed).
  • Hate speech, discriminatory remarks, or content advocating violence or prejudice.
  • Personal attacks or harassment directed at individuals (e.g., naming and shaming an employee of a business in a derogatory manner). Criticism should remain about the business or service itself.
  • Sensitive personal information about someone (like personal phone numbers, addresses, or personal health details) – you should not include personal data of others in your public reviews.
  • References to illegal activity or advice to engage in illegal activities.
  • No Advertising or Spam in Reviews: Reviews and comments should not be used as a platform for advertising. Do not include promotional content or links promoting other businesses, services, or websites. Likewise, do not repeatedly post the same content (no spam). If you have found multiple businesses good or bad in a similar way, write separate distinct reviews for each rather than copying and pasting the same text.
  • Content Ownership and License: You retain ownership of the content (text, images, etc.) you post as a review or comment. However, by submitting content to UrbanBazaar, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, distribute, adapt, and modify your content in connection with operating and promoting the Platform. For example, we might show excerpts of your review on social media or in marketing materials to highlight user feedback. You represent that your content is an original work of authorship (or that you have the necessary rights from the owner to post it) and that sharing your content with us does not violate any laws or rights of any third party.
  • Moderation and Removal: UrbanBazaar reserves the right to monitor, edit, or remove user-
    generated content at any time. While we are not obligated to pre-screen reviews, we have the right (but not the obligation) to remove or hide any content that violates these Terms or is otherwise objectionable. This can include content that is flagged by other users or businesses as inappropriate. We may also suspend or terminate (Section 11) the accounts of users who repeatedly or egregiously violate our content standards.
  • Reporting Inappropriate Content: If you believe a review or any user content violates these Terms (or your rights, such as being defamatory or infringing your copyright), you can report it to us through the designated reporting mechanism on the Platform or by contacting our support. We will investigate such reports and take action as necessary in accordance with applicable laws (including, for example, the notice-and-takedown procedure under the Indian IT Act for unlawful content).
  • No Editorial Influence by Businesses: Businesses listed on UrbanBazaar do not have the ability to remove or edit user reviews simply because they are negative. We aim to maintain the integrity of the review system. However, business owners may publicly respond to reviews (if that feature is available) in a polite and factual manner, or flag reviews that they believe are fraudulent or violate our guidelines. UrbanBazaar will assess flags objectively.
  • Opinions Disclaimer: Reviews and ratings on UrbanBazaar are the opinions of individual users,
    not of the Company. We do not endorse or approve any user-generated content, and it may not reflect our own opinions. Accordingly, we are not liable for any statements in user reviews, but we will act expeditiously to remove content that is unlawful when we become aware of it.
  • Retention of Content: Content you post will typically remain on UrbanBazaar indefinitely, even if you cease using UrbanBazaar or delete your account, unless you specifically delete the content or we remove it for the reasons above. If you wish to remove a review or comment you have written, you may do so through your account (if that feature exists) or by contacting us with a removal request (from the email associated with your account for verification). We reserve the right to retain copies of removed content as required by law or for record-keeping, but it will not be visible publicly after removal.
  • Images and Media in Reviews: If UrbanBazaar allows images or media in user reviews, the same rules apply. Do not upload images or videos that are not relevant to your experience (e.g., unrelated stock photos, or images of another business). Any image/video must be appropriate (no graphic violence, no sexual content, etc.), taken by you (or you have rights to it), and must respect the privacy of others (avoid posting someone's face or property without permission). We may remove or blur portions of images that violate privacy or other guidelines.
  • Review Upvotes/Downvotes: If the Platform allows users to rate or mark reviews as “helpful” or
    otherwise, you should not abuse this feature (such as creating fake accounts to upvote your own review or downvote others). Any detected manipulation of review feedback can result in corrective measures by UrbanBazaar.
  • Communications: If you interact with other users or business owners through any communication features (like comment threads, Q&A, or messaging if provided), you must remain civil and follow all aforementioned content rules. We may monitor and moderate private communications on the Platform to enforce these Terms if abuse is reported, in line with our Privacy Policy and applicable laws. By contributing content to UrbanBazaar, you acknowledge and agree that you are solely responsible for your own submissions and that you may be held liable for content you post (for example, you could be liable for defamation if you knowingly post false statements that harm someone’s reputation). UrbanBazaar’s role is that of an intermediary platform – we are not the author of user content, but we will act to remove content that violates law when notified as per law.

8. Intellectual Property

UrbanBazaar and its content are protected by intellectual property laws. It’s important for both the Company and Users to respect each other’s intellectual property rights:

  • UrbanBazaar Platform Content: All content and materials available on UrbanBazaar (except User- Generated Content as defined in Section 7) are the property of Ample Mart Private Limited or its licensors. This includes (but is not limited to) the platform’s design, layout, look and feel, databases, compilations of business information, text, graphics, logos, button icons, images, software (including the underlying source code and algorithms), and any content created or supplied by us (such as articles, blog posts, or guidance text on how to list businesses). These are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, perform, display, or create derivative works of our proprietary content without our prior written consent.
  • Trademarks: UrbanBazaar, the UrbanBazaar logo, and any other product or service names or slogans displayed on the Platform are trademarks (registered or unregistered) of Ample Mart Private Limited (the “Company Marks”). You are not permitted to use any of these Company Marks without our prior written approval. All other marks that appear on UrbanBazaar (such as business names listed, or logos of businesses) are the property of their respective owners. Use of those third-party marks may also be subject to permission from their owners. Nothing in these Terms grants you any license or right to use any trademark or logo displayed on the Platform.
  • Your Content and License to Us: As noted in Section 7, Users retain ownership of the content
    they post (business listings, descriptions, reviews, images, etc.). However, to operate the Platform, we need certain rights to use that content. By submitting or posting any content on UrbanBazaar, you grant Ample Mart Private Limited a worldwide, non-exclusive, royalty-free, sublicensable (to our affiliates and service providers), transferable license to use, reproduce, adapt, modify (for formatting or technical purposes, not to change meaning), distribute, publish, translate, and publicly display that content across our Platform and in any marketing or promotional activities. This license is limited to the purpose of operating, improving, and promoting UrbanBazaar. For instance, we might crop or resize an image you upload for layout on our site, or we might quote a snippet of your business description in a social media post about our listings. You affirm that you have all necessary rights to grant this license for any content you provide.
  • Prohibited IP Violations by Users: You must not use UrbanBazaar to infringe intellectual property rights. Do not upload or post any content that you do not own or have permission to use. If you use someone else’s copyrighted material (text, images, etc.) in your business listing or review, you must have the legal right or license to do so. Using copyrighted content without permission, or using someone else’s trademarks in a way that confuses users, is a violation of these Terms and can result in content removal or account termination. It may also expose you to legal liability from the rights holder.
  • DMCA/ IP Infringement Policy: UrbanBazaar respects intellectual property rights and follows applicable laws (including the Indian Copyright Act and the IT Act’s intermediary guidelines). If you believe that any content on our Platform infringes your copyright or other IP rights, please notify us promptly. Your notification should include: (a) identification of the copyrighted work or other IP you claim is infringed; (b) identification of the content on UrbanBazaar that you believe infringes it (with URL or reference for us to locate it); (c) your name, address, email, and phone number; (d) a statement that you have a good-faith belief that the use of the material is not authorized by the owner or the law; (e) a statement that the information you provided is accurate and that, under penalty of perjury, you are the owner or authorized to act on the owner’s behalf; and (f) your physical or electronic signature. Upon receiving a valid infringement notice, we will investigate and, if appropriate, remove or disable access to the allegedly infringing content. We may also notify the user who posted the content and, for copyright, follow any applicable counter-notice process.
  • Repeat Infringers: UrbanBazaar will terminate user accounts that are deemed to be repeat
    infringers of intellectual property rights in appropriate circumstances. If a user repeatedly uploads infringing content and we receive multiple valid complaints, that user may be banned from the Platform.
  • Use of Platform Data: The data and listings on UrbanBazaar (including business listings, user
    reviews, etc.) are provided for the use of Platform users only. Scraping, harvesting, or using automated means to extract data from UrbanBazaar without our permission is prohibited. This includes using bots, spiders, or any automated scripts to collect listings information, user
    information, or any other data. We reserve the right to employ technical measures to prevent such unauthorized data collection. If you are interested in using UrbanBazaar data for academic research or other purposes, contact us for permission or data licensing options.
  • Feedback: We welcome feedback and suggestions to improve UrbanBazaar. If you choose to submit feedback (like ideas, proposals, or improvements), you agree that we are free to use it without any restriction or compensation to you. Feedback is not confidential and may be used by us to enhance the Platform.
  • Third-Party Intellectual Property: UrbanBazaar may contain content, features, or links that utilize third-party intellectual property (for example, a map service for displaying business locations, or logos from payment providers, etc.). Use of those services or content may be subject to their own terms. We have rights or licenses to include such content on our Platform, but not to grant you any additional rights to them beyond what the third-party permits.
  • Reservation of Rights: All rights not expressly granted to users in these Terms are reserved by
    Ample Mart Private Limited. You obtain no ownership or license rights in our intellectual property by implication, estoppel, or otherwise, except for the limited use rights granted in these Terms. If you wish to use any of our intellectual property outside the scope of these Terms (for example, using our logo in a press release or on your website to indicate you are listed on UrbanBazaar), please contact us for explicit permission.

9. Privacy and Data Usage

Your privacy is important to us. UrbanBazaar’s collection and use of personal and business data are governed by our Privacy Policy (available on our website). By using the Platform, you consent to the collection, use, and disclosure of information as described in these Terms and in our Privacy Policy. Below is a summary of key privacy and data usage terms:

  • Data Collection: We collect various types of information from and about you when you use UrbanBazaar. This includes:
  •  Personal Information: such as your name, email address, phone number, and other contact details provided when you register an account or list a business. If you are a business listing owner, we might also collect identification information and business registration documents for verification purposes.
  • Business Information: details about your business if you list one (e.g. business name, address, services offered, operating hours, etc.), which are intended to be public on the Platform.
  • Usage Data: information about how you interact with the Platform (e.g., search queries, page views, clicks, and other usage analytics).
  • Device and Technical Data: such as IP address, browser type, device identifiers, and cookies that help us provide and secure our Services.
  • Use of Information: The information we collect is used to provide and improve our services. For example:
  • Personal contact information is used to create and manage your account, to contact you regarding your account or listings (e.g., verification emails, important announcements), and to respond to your inquiries.
  • Business listing information is published on the Platform to be viewed by all users (as that is the nature of a listing directory). By submitting business info, you agree that such details can be made public on UrbanBazaar.
  • We may use your email or phone number to send service-related communications (like account verification codes, notifications about reviews on your listing, updates to terms/policies, or marketing messages if you have opted in). You can opt out of promotional emails at any time, though we will still send essential transactional or legal notices.
  • Usage and device data help us analyze how users use UrbanBazaar, enabling us to troubleshoot issues, prevent fraud, personalize the user experience (for example, showing relevant local listings), and improve the Platform’s features and performance.
  • Sharing of Information: We value your trust and do not sell your personal information to third
    parties for their own marketing. However, we may share information in the following ways:
  • With other users: If you are a business listing owner, the information you put in your listing (including contact info like phone number, address, website) will be visible to users on the Platform. If you post a user review, your username or any profile information you choose to disclose will be displayed alongside your review.
  • With service providers: We may share data with third-party vendors who help us operate the
    Platform (such as payment processors, email service providers, analytics companies, cloud hosting providers, etc.). These parties process data on our behalf under obligations consistent with this section and our Privacy Policy.
  • For legal reasons: We may disclose information if required by law or legal process, or if we have a good-faith belief that such disclosure is necessary to (i) comply with legal obligations, (ii) protect and defend our rights or property, (iii) prevent fraud or abuse of the Platform or our users, or (iv) protect the personal safety of users or the public.
  • Business transfers: If Ample Mart Private Limited is involved in a merger, acquisition, restructuring, or sale of assets, your data may be transferred as part of that transaction. We will ensure the new owner honors the commitments we’ve made in this section or notify you if terms change. 
  • Data Security: We implement reasonable security measures to safeguard the information
    collected via UrbanBazaar. This includes employing technical, administrative, and physical safeguards intended to protect against unauthorized access, alteration, or destruction of data. For example, our site uses encryption for sensitive data transmission (HTTPS), and we restrict access to personal data to authorized personnel. However, no method of transmission or storage is 100% secure, so while we strive to protect your data, we cannot guarantee absolute security. You should also take precautions, such as using strong passwords and not sharing your account credentials.
  • User Controls: You have certain controls over your data on UrbanBazaar:
  • You can access and update your personal account information by logging into your account and editing your profile. It’s your responsibility to keep this info current.
  • If you are a business listing owner, you can edit your business information through your dashboard to correct or update it at any time.
  • For review writers, if you wish to edit or delete a review you posted, you may do so if the functionality is available, or you can request our support to remove it (though note that our moderation policies might apply).
  • You may delete your account if you no longer wish to use UrbanBazaar. Upon deletion, your profile and personal data will be removed or anonymized in our production systems, but note that content you contributed (like reviews or business listings) may remain visible if it’s not directly tied to your personal profile or if we have a legitimate reason to retain it (we might label such content as from a “former user” or similar). Also, we may retain backup copies and certain transaction records as required for legal and compliance reasons.
  • Cookies and Tracking: UrbanBazaar uses cookies and similar tracking technologies to enhance user experience (such as keeping you logged in, remembering preferences) and to analyze usage. Our Privacy Policy details what cookies we use and how you can manage them (for example, via your browser settings). By using the Platform, you consent to our use of cookies as described in our policy.
  • Third-Party Links: UrbanBazaar may contain links to third-party websites, such as a business’s own website or social media page, or advertisements that lead to external sites. Once you leave our Platform and visit a third-party site, our Terms and Privacy Policy no longer apply, and that third party’s terms and policies govern. We are not responsible for how those sites handle your data, so please review their privacy policies if you navigate to them.
  • Confidentiality of Uploaded Documents: If as part of listing verification (or any process) you
    upload confidential documents (e.g., government IDs, certificates), we will treat these with care. Such documents will not be published on the Platform (unless they also serve as public information like a shop license proof badge or similar, in which case we would only display minimal necessary information). We use them internally to verify authenticity of listings. Only authorized personnel and/or automated processes will review them, and they will be stored securely. We will not share these documents with third parties except as required to fulfill verification (e.g., we might use a third-party verification service who checks PAN or GST numbers, under strict privacy contract) or if required by law enforcement.
  • Communication and Messaging: If UrbanBazaar enables direct messaging or contact forms
    between users and businesses, those messages may be monitored or scanned by us in automated ways to prevent spam, fraud, or misuse. We respect your privacy and will not use message contents for marketing; monitoring is solely to maintain a safe platform (e.g., filtering out contact info in public reviews, or detecting scams). By using such features, you agree to this monitoring.
  • Consent and Data Processing: By providing personal information to us, you consent to our
    processing of it in India and potentially other countries (where our servers or service providers are located). If you are using the Platform from outside India, be aware that you are sending information to India where laws regarding processing of personal data may differ from those of your country.
  • Grievance Officer: In accordance with the Information Technology Act and rules, we have
    designated a Grievance Officer for addressing complaints and concerns regarding personal data and other matters. Details for contacting the Grievance Officer can be found in our Privacy Policy or Contact Information section (Section 16). You can reach out to this officer if you have any grievances regarding the usage of your personal data or content on the Platform. We will endeavor to respond to and resolve grievances within the time frame prescribed by applicable law.
  • Retention: We will retain your personal data only as long as necessary for the purposes set out in these Terms and our Privacy Policy, or as required by law. For example, even after you delete your account, we might retain certain data for accounting, dispute resolution, or fraud prevention purposes. When we no longer need data, we will dispose of it securely.
  • Privacy Policy: These Terms provide a basic overview of how we handle data, but our full Privacy Policy contains more details on topics like cookies, third-party services, and your rights under law (for example, rights under any data protection regulations). By accepting these Terms, you also agree to the terms of the Privacy Policy. If there is any conflict between these Terms and the Privacy Policy regarding data use, the Privacy Policy will prevail for matters of personal data protection. If you have questions or concerns about how we handle your data, please review the Privacy Policy and contact us using the information in Section 16.

10. Referral and Sponsorship Policies

UrbanBazaar may offer referral programs and sponsored listing opportunities to its users. These programs are designed to reward users for spreading the word about UrbanBazaar and to allow businesses to gain additional exposure. Participation in any such program is subject to the following terms:

Referral Program:

  • Eligibility: Referral programs (if active) are typically open to registered users of UrbanBazaar. To participate, you must have an active account in good standing. The program details (such as how to refer, rewards on offer, etc.) will be described on the Platform when the referral program is launched.
  • Referral Method: We will provide you with a unique referral link, code, or process to invite new users or businesses to UrbanBazaar. In order for a referral to count as a Qualified Referral, the referred person or business must meet the criteria specified (for example, the new user might have to sign up and create a listing or perform some activity). We will clearly outline what counts as a successful referral in the program terms on the site.
  • Referral Rewards: Rewards for referrals can take various forms (e.g., credits applied to your account, discount on your subscription, cash vouchers, gift cards, etc.), as will be specified in the program. Rewards are typically given only for valid, completed referrals. We may cap the number of referrals or rewards per user to prevent abuse (for instance, a maximum of 10 successful referrals per user). Rewards have no cash value unless expressly stated (e.g., if we provide an INR cash bonus) and are not transferable to others.
  • Prohibited Referral Activities: We encourage sharing UrbanBazaar with friends and colleagues, but referrals must be done in a personal and ethical manner. The following practices are not allowed:
  • Spamming: Do not mass email people you do not know, post your referral links on unsolicited forums or comment sections, or send messages to people who are not expecting communication from you. All referral communications should comply with anti-spam laws (e.g., if you email acquaintances, ensure it’s welcome).
  • Misrepresentation: Do not misrepresent your relationship with UrbanBazaar or make false claims to convince someone to sign up. For example, you cannot act as if you’re an UrbanBazaar employee or promise things that UrbanBazaar is not offering.
  • Self-referral or Fake Accounts: Creating fake accounts, or referring “yourself” by using alternate email addresses or identities, is fraud. Also, you cannot refer a business that you own as if it were a separate entity just to get a reward (unless the program explicitly allows something like that with prior approval).
  • Multiple Referral Sources: If two users refer the same person/business, generally only one referral can be credited (usually the first referral code used by the new user). We may disqualify any referral attempt that appears to be a duplicate or conflict.
  • Reward Fulfillment: Rewards (like credits or vouchers) will be granted within a specified time after a successful referral, as described in the program (often after the referred party completes a required action and remains active for a minimum duration). We reserve the right to verify referrals to ensure they are bona fide. If a reward is mistakenly granted for an invalid referral, or if a referred account is found to be fraudulent or in violation of our Terms, we may rescind the reward or charge it back against your account.
  • Program Changes: UrbanBazaar may modify, suspend, or terminate the referral program at any time. This includes changing the reward structure, duration of program, or any terms. We will provide notice on the Platform if any major changes occur. If the program is terminated, pending referrals (those already made but not yet qualified for reward) may or may not be honored, at our discretion.
  • Liability: We are not responsible for any tax implications of receiving rewards; that is for you to manage in accordance with applicable laws. We also make no guarantee that the referral program will be uninterrupted or error-free. By participating, you release UrbanBazaar and the Company from any liability arising from or related to the referral program.

Sponsored Advertisements and Featured Listings:

  • Overview: Businesses (or users acting on behalf of businesses) may have the opportunity to purchase sponsored advertising slots or featured listing placements on UrbanBazaar. These sponsorship opportunities provide increased visibility (for example, appearing prominently on category pages, at the top f search results, or as banner ads on the site).
  • Terms of Purchase: The specific terms (duration, pricing, placement, metrics provided, etc.) of a sponsored/featured listing campaign will be detailed at the time of purchase or in a separate advertising agreement. By purchasing, the advertiser agrees to pay the fees (see Section 6 on Payment Terms) and to provide the necessary ad content or materials in the format we require.
  • Content Guidelines: All content used in sponsored ads or featured listings must comply with Section 5 (Listing and Advertising Guidelines) and all other relevant sections of these Terms. Paying for an ad does not exempt you from the content rules. If you submit an advertisement banner or special content for a campaign, it will be subject to review. We reserve the right to reject or ask for modifications if the ad content is not suitable or violates any policies or laws. This includes ensuring the ad is not deceptive and clearly represents your business or offer.
  • Labeling and Transparency: Sponsored advertisements or featured listings will be clearly identified to users (for example, with labels like “Ad”, “Sponsored”, “Featured”, or distinct styling) to differentiate them from organic content. You agree to such labeling, and understand that it is necessary for transparency with our users.
  • No Endorsement: Even though an ad or featured listing might be given prominence on UrbanBazaar, this does not constitute an endorsement by UrbanBazaar or the Company of the business or its products/ services. We simply provide the space for advertisement. Users should still apply their discretion, and we encourage advertisers to be truthful and clear in their messaging to build trust.
  • Performance and Metrics: We may provide advertisers with performance metrics for their sponsored content (e.g., number of views, clicks, etc.). While we aim to provide accurate data, we do not guarantee any specific level of engagement. UrbanBazaar does not guarantee results such as increased sales, a specific number of customer inquiries, or any business outcomes from purchasing a sponsored advertisement or featured listing. Any figures provided (like estimated reach or typical results) are for informational purposes and not promises.
  • Scheduling and Rotation: If multiple businesses purchase similar sponsored slots (e.g., more than one “featured” business in a category), UrbanBazaar may rotate or sequence their display to give fair exposure, or might display them based on context (like user location or search relevance). The exact mechanism will depend on the program details. We will communicate how sponsored placements work when you sign up. For banner ads, we might limit the number of concurrent sponsors and possibly share the slot in a rotation if needed.
  • Compliance and Legal Requirements: If your advertisement falls under regulated categories (such as pharmaceuticals, financial services, etc.), it is your responsibility to ensure that all legal disclaimers or mandatory information is included in the ad. UrbanBazaar assumes no responsibility for your failure to include required information. We do, however, reserve the right to remove or pause ads that we discover to be in violation of law or government guidelines.
  • Modification and Cancellation: If you need to modify your sponsored ad content (say, update an image or change text in a featured listing promotion), you must contact us. Minor updates might be allowed subject to re-approval. As for cancellation, if you decide to cancel an ongoing campaign early, our general policy (unless otherwise stated in a separate ad agreement) is that no refunds will be given for the unused period, especially if the campaign has already begun. In some cases, we might offer pro-rated credits at our discretion, but we are not obligated. The Company can also cancel or refuse a sponsored campaign (with refund for unused portion) if the advertiser breaches these Terms or if continuing the campaign would harm our users or reputation.
  • Duration and Expiry: Sponsored listings/ads run for the period agreed (e.g., one week, one month, etc.). After the period ends, your listing will revert to normal status unless renewed. We may offer tools to renew or extend campaigns. If a sponsored placement is tied to an event or specific date, it might automatically expire afterwards. It’s the advertiser’s duty to be aware of their campaign timeline.
  • Indemnity for Ad Content: In addition to the general indemnification clause in Section 13, if you purchase sponsored advertising, you specifically agree to indemnify and hold the Company harmless from any third-party claims or liabilities arising out of your ad content or advertising practices (for example, if your advertisement allegedly infringes someone’s trademark, or if it violates a consumer protection law and someone brings a claim).
  • Statistics and Confidentiality: Any detailed ad performance statistics or insights we provide to you should be considered for your internal use. You agree not to misrepresent these stats publicly. Also, if under a separate ad agreement certain terms are confidential, both parties will uphold those confidentiality obligations.
  • Changes to Sponsorship Programs: We may change the format, availability, or terms of sponsored listing programs over time. For instance, we might introduce new featured spots, change how many can be sold, or adjust pricing. We will honor existing contracts under the terms agreed when purchased, but future purchases will be subject to the updated terms.

In summary, referral and sponsorship opportunities are provided to enhance user engagement and business visibility on UrbanBazaar. However, they come with responsibilities to act ethically and abide by the rules. Abuse of these programs may lead to disqualification from the program and possibly further action under these Terms.

11. Termination and Suspension of Accounts

UrbanBazaar reserves the right to suspend or terminate your access to the Platform, your account, or any specific service (like a business listing or advertising campaign) at our discretion, in accordance with the following:

  • Termination by User: You have the right to stop using UrbanBazaar at any time. If you wish to delete your account, you may do so through the account settings (if available) or by contacting our support team. Business owners who wish to remove their business listing can similarly request deletion (keeping in mind that certain basic business contact info might remain searchable if it was public information we aggregated, but we will remove user-submitted content and mark the listing as closed or removed). Upon your request, we will deactivate or delete your account and/or listings, and handle your data as outlined in Section 9 (Privacy and Data Usage). Keep in mind that while your account will no longer be accessible, any reviews or content you posted may remain on the site under an anonymous or generic user label, unless you specifically request their removal and such removal is in line with our policies.
  • Termination or Suspension by Company (For Cause): We may immediately suspend, restrict, or
    terminate your account (and any related accounts we determine are owned by you) and/or remove your listings or content, without prior notice, if we, in our sole judgment, determine that:
  • You have materially or repeatedly breached these Terms or any other policy that applies to you (for example, posting prohibited content, engaging in fraudulent or illegal activities, non-payment of fees owed, etc.).
  • You have engaged in behavior that is fraudulent, abusive, or harmful to other users, customers, third parties, or the interests of the Company.
  • We are required to do so to comply with a legal requirement or court order, or at the request of law enforcement or other government agencies. For instance, if we are informed that your business or activities are under investigation for legal violations, we might suspend your listing pending outcome.
  • You infringe intellectual property rights or we receive multiple intellectual property infringement notices regarding content associated with your account (repeat infringer policy).
  • There are unexpected technical issues or security incidents (for example, your account is hacked or is causing disruption). In such cases, a suspension might occur to contain the issue.
  • Termination by Company (No Fault): We also reserve the right to terminate any user account or discontinue any feature or service for any reason at our discretion (even without a fault on your part), but in such cases we will provide notice and, where applicable, a pro-rata refund of any prepaid fees for services not rendered. For example, if we decide to discontinue the UrbanBazaar platform entirely or a specific feature, we might terminate accounts or access related to that feature with reasonable notice.
  • Notice of Termination: When reasonable and feasible, we will attempt to provide you with a notice of our action (via the email associated with your account or via a notification upon login). However, in cases of severe violation or urgent harm, we may suspend first and notify afterward.
  • Effect of Termination: Upon termination of your account:
  • Your right to access or use the account and Platform will cease immediately. You must stop using the Platform and you may not create another account without our permission.
  • Any listings you have may be deactivated or deleted. If you are a business, this means users may no longer see your business information on UrbanBazaar (or it may appear as “removed”). If you are a general user, your profile will be deactivated.
  • We may retain certain information or content as required by law or for legitimate business purposes (e.g., records of transactions or communications you had through the Platform) even after termination, as allowed by our Privacy Policy. However, such data will not be available to you or the public.
  • If your account was terminated due to a breach of Terms, we reserve the right to refuse re- registration or use of the Platform by you in the future. You could also be subject to legal consequences depending on the nature of the breach (for example, if fraud or illegal activity was involved, we might report it to law enforcement).
  • Outstanding Obligations: Termination of your account does not relieve you of any obligations
    you may have accrued. For instance, if you have an unpaid balance for any paid services, you remain responsible for settling those. Likewise, any indemnification obligations (Section 13) or liability limitations, and other such clauses that by their nature are meant to survive, will continue to apply.
  • User Content Post-Termination: As noted, content you’ve contributed (reviews, forum posts, etc.) may remain on the Platform even after your account is closed, since those pieces of content are part of the community’s knowledge base. We may, upon request, dissociate your username from the content if you desire privacy (for example, display it as “Anonymous” or some generic identifier). But we are not obligated to remove your past content unless it violates our Terms or we are required by law. Reviews are typically not removed just because someone is no longer a user, except in cases of violation.
  • Appeal: If you believe your account or listing was suspended/terminated in error, you may contact us to appeal the decision. We will review appeals on a case-by-case basis and decide at our discretion whether to reinstate access. Our decision on appeals is final.
  • Temporary Deactivation: In some cases, we may suspend or temporarily deactivate your account or listing rather than permanently terminate, especially while investigating potential violations or if you request a temporary hold. During suspension, you cannot access your account or some features, but your data might be retained. We will communicate the status and any steps needed from you (e.g., verify certain info, confirm you’ve addressed an issue, etc.) to potentially lift the suspension. If the issues are resolved satisfactorily, we may reactivate the account. Otherwise, a suspension could lead to eventual termination.
  • Multiple Accounts and Evasion: If an account has been terminated or suspended, any attempt by you to circumvent that action (for example, by creating a new account with slightly different information) is a further violation of these Terms. We reserve the right to terminate any new account that we determine is an attempt to evade a prior ban, and such behavior may extend the period of suspension or result in permanent banning.
  • Our Rights: The Company shall not be liable to you or any third-party for any termination or
    suspension of your account, or removal of your content, provided that such action is carried out in accordance with these Terms. Termination of your account is at our sole discretion, and UrbanBazaar is provided as a privilege, not an absolute right.
  • Service Discontinuation: Separately from individual account termination, we reserve the right to discontinue or shut down the UrbanBazaar Platform or any part of it, at any time. If that happens, we will attempt to provide advance notice to users when possible and facilitate any data export if feasible. If a discontinuation happens and you have active paid services, we will refund any unused portion for which you have paid (unless the shutdown is due to events beyond our control, like legal injunctions, in which case refunds may depend on legal allowances).

12. Limitation of Liability

Please read this section carefully – it limits the liabilities that Ample Mart Private Limited (UrbanBazaar) may have to you.

  • Use at Your Own Risk: Your use of the UrbanBazaar Platform and its services is at your sole risk. The Platform is provided on an “as is” and “as available” basis. While we strive to maintain a reliable and safe service, we make no representations or warranties of any kind, whether express, implied, or statutory, about the operation of the Platform or the information, content, or services included on or otherwise made available to you through UrbanBazaar. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.
  • No Warranty on Content Accuracy: UrbanBazaar does not warrant that the content (including business listings, descriptions, and user reviews) provided on the Platform is accurate, complete, reliable, current, or error-free. Although we endeavor to verify certain information (especially in paid or verified listings), we cannot guarantee that every listing is truthful or up-to-date. Businesses are ultimately responsible for their listing content, and users are responsible for reviews; we are an intermediary platform providing the information “as is” from the contributors. You acknowledge that any reliance on the material on UrbanBazaar is at your own discretion and risk.
  • Service Availability: We do not guarantee that UrbanBazaar will be uninterrupted, timely, secure, or error-free. There may be occasions when the Platform is unavailable (whether due to maintenance, upgrades, network issues, technical glitches, or others). We will try to minimize disruptions, but you agree that we are not liable for any inconvenience or loss arising from such downtime or any technical malfunction.
  • Limitation of Types of Damages: To the maximum extent permitted by applicable law, in no event shall Ample Mart Private Limited, its affiliates, directors, officers, employees, agents, or partners be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) UrbanBazaar or any content or services provided through it. This includes, without limitation, any damages for lost profits, lost business opportunities, loss of data, business interruption, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.
  • Limitation of Liability Amount: To the extent that liability cannot be completely disclaimed, the total aggregate liability of Ample Mart Private Limited (UrbanBazaar) to you for all claims arising from or related to the use of the Platform or these Terms shall not exceed the amount (if any) that you paid to us for services in the six (6) months immediately preceding the event giving rise to the claim. If you have not paid any amount (for example, you only used free services), our total liability shall be zero or the minimum amount permitted by law. This limitation applies regardless of the form of action or theory of liability (contract, tort, negligence, strict liability, breach of statutory duty, or otherwise).
  • Third-Party Dealings: UrbanBazaar is not involved in the actual transactions or agreements
    between users and listed businesses. If you, as a user, choose to purchase a product or service from a business listed on UrbanBazaar, or you engage their services, that transaction is strictly between you and the business. We do not oversee, and therefore are not responsible or liable for, the quality, safety, legality, or fulfillment of what the business offers. Any disputes or claims regarding a product or service (including but not limited to issues like defects, damages, negligence, or breach of service by the business) must be resolved between the consumer and the business. The Company’s role is limited to providing the platform for listing and discovery.
  • No Liability for User Content: We are not liable for content posted by users, including reviews,
    comments, or any third-party content on the Platform. This content reflects the views of the authors and not us. However, we will take steps to remove content that violates our policies or the law once we are notified or otherwise become aware of it (as per our obligations as an intermediary under Indian law). If you find user content harmful or inaccurate, your remedy is to report it to us or, if you incur damages as a result, seek remedy from the party who posted it (subject to any platform protections under law).
  • Specific Services: If you use specific ancillary services on UrbanBazaar (for example, a lead
    generation feature, or a booking system if one is integrated), any liability associated with those transactions remains between you and the other party. For instance, if UrbanBazaar allows you to book an appointment with a business, and that appointment doesn’t go well, we are not responsible for the outcome of that appointment.
  • Links and External Sites: UrbanBazaar may include links to external websites or services (for example, a business’s own website, or third-party advertisements). We do not operate or control those sites, and therefore we aren’t responsible for their content or any damages you may suffer by using them. Visiting those sites is at your own discretion and risk.
  • Emergencies and Force Majeure: UrbanBazaar shall not be liable for any delay or failure in
    performance resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil disturbances, government actions, pandemic or epidemic events, failure of telecommunication or digital transmission links, hostile network attacks, or other events beyond our control (“Force Majeure”). In such cases, our obligations will be suspended for the duration of the event. We will try to inform users and resume service as soon as feasible.
  • Consumer Protection Rights: While these Terms aim to limit our liability, nothing in this Section (or elsewhere in these Terms) is intended to exclude or restrict any liability which cannot be excluded by law. If you are a consumer, you may have certain rights under consumer protection laws (such as the Consumer Protection Act, 2019 in India) that cannot be waived by contract. These Terms are to be read subject to such laws.
  • Indemnification and Liability: The allocation of responsibility between you and us is further
    supported by the Indemnification clause (Section 13) where you agree to defend and cover us for certain types of claims caused by your actions. This helps ensure that we are not unnecessarily brought into disputes that are not within our control.
  • Release: You agree that you bear all risk of your interactions with other users or businesses on the Platform. To the extent permitted by law, you hereby release the Company (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from any and all claims or liability related to any product or service of a business listed on our Platform, any action or inaction of a business in connection with a transaction, or other users’ conduct or content. If you are a California resident (for example), you waive California Civil Code §1542 (and any similar provision in other jurisdictions), which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release…”. In simpler terms, you waive any laws that limit general releases in this context.
  • No Double Remedies: If, for some reason, one of the limitations of liability is deemed
    unenforceable, our liability will still be limited to the fullest extent permitted by applicable law. The limitations in this section are cumulative and each is in addition to the others. They apply whether liability is alleged to arise from breach of contract, tort (including negligence), strict liability, breach of statutory duty, or any other legal theory.
    By using UrbanBazaar, you acknowledge that you understand the scope of the platform’s role and agree that the limitations of liability set out here are reasonable. If you do not agree, your sole remedy is to discontinue use of the Platform.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ample Mart Private Limited (UrbanBazaar), including our affiliates, and each of our respective directors, officers, employees, and agents (collectively, the “Indemnified Parties”), from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to any of the following:

  • Your Use of the Platform: Your access to or use of UrbanBazaar, including any data or content transmitted or received by you. For example, if you use the Platform in a way that causes damage to someone else or to UrbanBazaar, you will be responsible for the consequences.
  • Your Violation of these Terms: Any breach or alleged breach by you of these Terms or of any
    representations, warranties, or covenants made by you herein. If you violate the rules and someone (or a government agency) sues us for it, you must cover our costs.
  • Your Violation of Laws or Rights: Your violation of any law, regulation, or the rights of any third
    party in connection with your use of the Platform. This includes, for instance, claims that your content infringes someone’s intellectual property (copyright/trademark) or privacy rights, or that you engaged in defamation, or violated consumer protection laws.
  • Your Content: Any content you submit or post on UrbanBazaar (business listings, reviews,
    comments, etc.). You are responsible for what you contribute. If, for example, you post a defamatory review about a business and that business takes legal action against the Company for hosting it, you agree to indemnify us for the costs we incur due to your content (while we will likely use safe harbor defenses, we might still need to spend resources on legal processes).
  • Your Interactions & Transactions: Any dealings or transactions between you and any other user or business listed on UrbanBazaar. If you are a customer who has a dispute with a business, or a business that has a dispute with a customer, you agree not to drag UrbanBazaar into that dispute; and if someone does involve us, you’ll protect us from any resulting liability.
  • Your Advertisements/Promotions: If you are an advertiser or you run a promotion via UrbanBazaar (like a referral or contest you sponsor on your own), any claims arising from your advertisement or promotion. For example, if an advertisement you placed is found to violate a regulation and UrbanBazaar is named in a regulatory action, you would indemnify us.
    Defense and Cooperation: We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations). In such case, you agree to cooperate with our defense of that claim and you may not settle or dispose of any claim against an Indemnified Party without the prior written consent of that party.

Notification: We will make reasonable efforts to notify you of any claim or demand for which indemnification may be sought under this Section as soon as we become aware of it, provided that our failure to notify promptly does not absolve you of your indemnification responsibilities except to the extent that delay materially prejudices your ability to defend the claim.

This indemnification obligation will survive the termination or expiration of these Terms and your use of the UrbanBazaar Platform. In other words, even if you stop using the Platform or delete your account, you will still be responsible for indemnifying us for acts during the time you did use the Platform.

14. Governing Law and Dispute Resolution

  • Governing Law: These Terms and any dispute arising out of or in connection with these Terms or your use of UrbanBazaar shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
  • Jurisdiction: Subject to the dispute resolution provisions below, you agree that any legal action or proceeding arising out of or related to these Terms or the use of the Platform shall be brought exclusively in the courts located in Ahmedabad, in the State of Gujarat, India. You consent to the exclusive jurisdiction of and venue in such courts. If you reside or are located outside of India, you waive any objection to proceedings in such courts on grounds of venue or forum non-conveniens, and you agree not to argue that any such court lacks jurisdiction over you.
  • Dispute Resolution and Negotiation: In the event of any dispute or difference between you and the Company, both parties agree to first attempt to resolve the dispute amicably through good-faith negotiation. You can start this process by contacting us (see Section 16 for contact details) and providing a brief written description of your issue and your contact information. We will attempt to reach out to discuss and resolve the matter.
  • Mediation (Optional): If a dispute cannot be resolved through direct negotiation within 30 days of one party notifying the other of the dispute, the parties may (by mutual agreement) attempt to resolve it through mediation. The mediation would be conducted by a neutral third-party mediator in Ahmedabad, India (or another location agreed upon) and the costs of mediation would typically be shared equally. Mediation is not binding, but is encouraged as a step before litigation.
  • Litigation: If the dispute is not resolved by negotiation (or mediation if attempted), either party may pursue remedies through the courts. As stated, the venue for any such litigation shall be Ahmedabad, Gujarat.
  • Injunctive Relief: Notwithstanding the above, UrbanBazaar (Ample Mart Pvt Ltd) may seek
    injunctive or other equitable relief in any jurisdiction if necessary to protect its intellectual property or confidential information, or to prevent any unauthorized access to or use of the Platform that could cause irreparable harm, since such situations might require immediate action.
  • Limitation on Claims: You agree that regardless of any statute or law to the contrary, any claim or cause of action you might have arising out of or related to use of the Platform or these Terms must be filed within one (1) year after such claim or cause of action arose, or else be permanently barred. (This does not apply to the Company’s claims period, only to users to the extent permitted by law.)
  • Improperly Filed Claims: All claims you bring against the Company must be resolved in accordance with this Section 14. Any claims filed or brought contrary to this Section (for example, in a different jurisdiction or not following the agreed process) shall be considered improperly filed. If you file a claim improperly, we reserve the right to recover attorneys’ fees and costs up to Rs. 50,000 (or equivalent in other currency) from you, provided that we have notified you of the improper filing and you have failed to withdraw the claim promptly.
  • Consumer Disputes: If you are using the Platform as a consumer (and not for business purposes), you may have legal rights to bring actions in your local courts or under certain consumer protection laws. Nothing in this Section is intended to limit any rights you might have under applicable consumer protection statutes; however, by agreeing to these Terms, you are explicitly choosing the law and forum as described above for resolving disputes (to the extent permissible under such laws).
  • Arbitration (Not Mandated): (For clarity, as of now, we are not imposing mandatory arbitration in these Terms. If that changes, this section will be updated and users will be notified. Currently, disputes will be handled via negotiation or courts as described.)
  • Waiver of Jury Trial and Class Actions: To the extent permitted by law, both parties waive any right to trial by jury in any litigation or to participate in a class action. All disputes shall be resolved on an individual basis; neither you nor the Company will be part of any class or representative action or proceedings against the other. (If this waiver is found unenforceable, this entire dispute resolution section shall be void with respect to that dispute, and it will proceed in courts of competent jurisdiction.)
  • Severability of Dispute Provisions: If any part of this Section 14 is found to be illegal or unenforceable, the rest will remain in effect (except as noted regarding class action waivers). The illegal or unenforceable part will be reformed to the extent possible to effect the original intent of the parties (e.g., if a specified court or law is not acceptable, a nearest alternative that reflects intent might be chosen by a court).
  • Continuance: This dispute resolution section shall remain in effect even after termination of these Terms or your account.

15. Modifications to the Terms

  • Right to Modify: Ample Mart Private Limited reserves the right to modify or update these Terms and Conditions at any time. As our business and legal requirements evolve, we may need to make changes to these Terms to reflect new features, changes in the law, or for other reasons.
  • Notification of Changes: If we make material changes to these Terms, we will provide you with reasonable notice. This may include: posting a clear notice on our website (for example, a banner or pop-up, or highlighted text at the top of the Terms); sending an email to the address associated with your account; or any other method that is likely to notify you of the change. Minor changes (such as clarifications, drafting improvements, or changes that do not adversely affect your rights) might not be announced, so you should review the Terms periodically.
  • Acceptance of Changes: Once any updated Terms are in effect, by continuing to use UrbanBazaar after the changes are posted (and after the effective date, if an effective date is specified), you are agreeing to the revised Terms. If you do not agree to the new Terms, you must stop using the Platform and may cancel your account. We will always list at the top of the Terms the “Last Updated” date so you can tell when it was last revised.
  • Material Changes During Contracts: If you are a business with a paid subscription or listing term, and a modification to the Terms materially affects that arrangement, you may have certain rights. For example, if a change is both material and adverse to you, and you have paid in advance for services that you haven’t yet received, you might be entitled to cancel your service and potentially receive a pro-rated refund for the remaining unused period (if the change cannot be mutually resolved). However, this would be handled on a case-by-case basis, and typically we’d aim to ensure any changes respect existing commitments or provide alternatives.
  • Updating Other Policies: Along with these Terms, UrbanBazaar may have additional policies (like a Privacy Policy, Community Guidelines, etc.). These too may be updated from time to time. When we refer to “Terms” herein, it generally includes such policies by reference. We will notify of changes to those policies in a similar manner if they are material.
  • Continued Improvements: We appreciate feedback from our users. If you have suggestions on how these Terms could better serve both parties, feel free to contact us (see Section 16). While we may not be able to accommodate all suggestions, we value our community’s input and may incorporate feedback in future revisions.
  • Archive of Terms: For transparency, we may maintain an archive or change-log of previous versions of these Terms (either on the site or available upon request), so that users can see what has changed over time.
  • Emergency Changes: In rare cases, we might need to make immediate changes for legal reasons (for example, if a new law takes effect immediately and requires us to update our terms or features to stay compliant) or to address an unforeseen security issue or abuse. In such cases, we might not be able to give advance notice, but we will still post the changes and they will be effective as required.
  • Severability (of Terms Modifications Clause): If any part of this clause about modifications is found invalid or unenforceable, it does not impact our ability to revise the rest of the Terms under the remaining valid methods. Essentially, our right to update the Terms stands as long as we provide notice in a reasonable manner.
